Offering Memorandum

An offering memorandum or OM is used to solicit investment capital. An OM is used worldwide and it consists of the terms of of the offering, i.e. what one is offering the investors for their money, securities law disclosures, risk factors, management biographies, use of proceeds and financial projections. Additionally, subscription documents such as the subscription agreement and an investor questionnaire is placed inside the memorandum as well. This is done so that the document can be a ‘complete’ memorandum. That is to say if an investor read the memorandum and decides to invest he/she can simply fill out the subscription documents and pay for the securities being offered.

An offering memorandum is also referred to as a private placement memorandum or prospectus, too.
